Brief Summary of Experience:
I have represented corporate and individual clients in connection with the commercial exploitation and protection of proprietary technologies (unpatented trade secrets), as well as copyrights and trademarks. I have represented computer software and hardware companies, technology companies, scientists and other companies or individuals for whom technology represents a key business asset. I provide a variety of services to these clients, including: legal services needed by start up and early stage technology companies, including incorporation, corporate governance, shareholder agreements, taxation and employment issues; negotiating agreements for the commercial exploitation of technology and intellectual property; forming and structuring collaborative ventures to develop and commercialize technologies; representing technology companies in private debt and equity financing transactions, including private placements. I negotiate and document agreements for the development, transfer, use and exploitation of technologies and intellectual property rights between commercial entities and between academic and commercial entities. This includes licenses, supply/requirements, joint ventures, consulting, materials transfer and OEM, VAR and distribution agreements. I provide counsel and advice to assist my business and professional clients in identifying and protecting intellectual property through copyright and trademark registration, the development of corporate programs to protect trade secrets, and the preparation of agreements with employees, consultants, agents, business partners and others to protect proprietary technologies and information. I also provide litigation services for the protection and enforcement of intellectual property rights, including claims involving: copyright and trademark infringement, misappropriation of trade secrets; usurpation of corporate opportunities; breach of corporate fiduciary duties; unfair competition; and false advertising.
