Privately held companies, both large and small, require a variety of timely and sophisticated legal services. Businesses require competent advice and assistance with the identification and organization of the appropriate form of business, the negotiation and preparation of a wide variety of agreements, tax planning, employment contracts and related employment issues, and litigation issues.  I have the necessary experience to provide cost-effective advice on business acquisitions and dispositions; debt and capital transactions of all types; recapitalizations; restructurings; licensing, sales, and distribution arrangements; franchise opportunities; construction and real estate projects; shareholder/director relations; compensation issues; and general business and strategic planning matters.

I have provided assistance with and guidance about the form and manner of doing business, establishing predictable rules of governance and anticipating and controlling tax effects.  Such matters are as fundamental to any well organized and managed business as are good strategic and marketing plans.  I provide assistance in creating the reliable corporate record necessary to attract investment capital and to permit any hoped for initial public offering.

I work closely with clients in the structuring and closing of debt financing and private placement capital transactions. I have represented borrowers in debt transactions and sellers and purchasers in connection with the private placements of stock in closely held companies; private offerings of limited partnership interests (limited partnership syndications); industrial development financing; project financing; leveraged lease financing (real estate and equipment); and standby letters of credit.  I have assisted in industrial revenue bonds issued or approved by a variety of issuing authorities.

I have served as counsel to buyers and sellers of privately held companies. In addition, I have assisted in negotiating and documenting strategic business alliances.

I also provide creative and effective counsel to family businesses seeking continuity of family ownership and control from generation to generation. I have experience with the broad range of ownership, governance and management succession, liquidity, tax, and estate planning issues that such companies and their family owners must address.

Although most businesses in the area are not concerned with broad Antitrust and Trade Regulation issues, I can provide first level counseling on antitrust issues including pricing, exclusionary practices, competitor relations, supplier and customer relations, distribution, intellectual property and marketing practices.
